These Terms of Service govern your use of Real Change Partner, the AI-powered thought partner for sustainability implementation built on the methodology of Dr. Jacqueline Kerr. Real Change Partner is jointly provided by Leading Real Change LLC and Keystone AI LLC. Please read these terms before creating an account or starting a conversation. By using the tool, you agree to these terms.

1. Who provides this service

Real Change Partner is jointly provided by two companies who are each responsible to you under these terms:

Both companies are jointly and severally liable to you under these terms. This means you may bring a claim against either or both of us, and each of us is individually responsible for the full obligations set out here. We manage our respective responsibilities privately between ourselves, but that arrangement does not limit your rights against either party.

2. What Real Change Partner is — and what it is not

Real Change Partner is a diagnostic thought partner. It helps sustainability leaders and practitioners think more clearly about the human dynamics of implementation: stakeholder resistance, unclear ownership, teams that stall, initiatives that do not travel. It is built on 25 years of implementation science and behavioral change research.

It is not a substitute for professional, legal, regulatory, technical, or financial advice. It does not perform emissions calculations, interpret regulations, or advise on compliance. It works on the human conditions that determine whether technical solutions land.

Important: Real Change Partner generates plans, strategies, and action steps based on the information you provide and the choices you make during the conversation. The quality and relevance of any output depends directly on the accuracy and completeness of what you share. If information changes, if your situation differs from what you described, or if relevant context was not shared, the output may not be appropriate for your circumstances. Neither Leading Real Change LLC nor Keystone AI LLC can be held responsible for decisions made or actions taken based on output generated by the tool. You are responsible for evaluating any plan or recommendation against your own context and professional judgment before acting on it.

3. Your account

To use Real Change Partner you need to create an account. You are responsible for keeping your login credentials secure and for all activity under your account. If you believe your account has been accessed without your authorization, contact us immediately at jk@leading-real-change.com or david@keystoneai.io.

You must be 18 or older to create an account.

4. Subscription plans and access

A conversation begins when you send your first message and ends when the written output is delivered or when you close the session, whichever comes first. Free plan conversations do not roll over to the following month. To protect the service against abuse, very high-volume use on the Individual plan may be subject to a fair-use limit; we will contact you before applying any such limit.

5. Billing and cancellation

Individual subscriptions are billed monthly in advance by Keystone AI LLC on the date you first subscribe. Payment is processed securely through our payment provider, Stripe. Neither Leading Real Change LLC nor Keystone AI LLC stores your card details.

You can cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. We do not offer refunds for partial months, except where required by applicable law.

If a payment fails, you will be notified by email. Access will be suspended after a reasonable grace period if the payment issue is not resolved.

6. Your data and privacy

What we collect

When you use Real Change Partner, we collect:

  • Full conversation transcripts
  • Account information: your name, email address, role, and organization
  • Usage data: conversation frequency, plan type, confidence ratings, and satisfaction scores
  • Payment information: processed and held by Stripe and not accessible to either Leading Real Change LLC or Keystone AI LLC

How we use your data

We use your data to:

  • Deliver the tool and generate responses
  • Improve the quality, accuracy, and diagnostic logic of Real Change Partner over time
  • Conduct research on sustainability implementation patterns, using anonymized and de-identified insights
  • Send follow-up check-ins where you have opted in
  • Manage your account and subscription

Dr. Jacqueline Kerr and authorized team members at Leading Real Change LLC and Keystone AI LLC may review conversation transcripts for quality assurance and research purposes. All personnel with access are subject to confidentiality obligations. By using the tool, you consent to this review.

Research and anonymized use

Aggregated and de-identified insights from conversations may be used in research, publications, and in developing the tool's case study library. We take reasonable steps to ensure no individual, organization, or specific situation is identifiable in any output derived from your conversations.

What we will not do

  • Share your data with third parties for marketing, advertising, or sale
  • Disclose your conversations to other users
  • Use your data for any purpose other than those listed above

Third-party service providers

We use a small number of service providers to deliver the tool. Each acts as a sub-processor under standard data-processing terms and may not use your data for any purpose other than providing their listed service. The current list is in Appendix A.

Data retention

We retain your conversation data for as long as your account is active and for up to 12 months after account closure to allow for research and retrospective analysis. After that period, data will be deleted or fully anonymized. You can request earlier deletion at any time.

Your rights

You have the right to:

  • Access the data we hold about you
  • Request correction of inaccurate account information
  • Request deletion of your data by contacting jk@leading-real-change.com
  • Withdraw consent to data review at any time by contacting us directly

We will notify you within 72 hours of becoming aware of any personal data breach affecting your information.

7. Acceptable use

You agree to use Real Change Partner for genuine sustainability implementation challenges. You agree not to:

  • Use the tool to generate harmful, misleading, or unlawful content
  • Attempt to reverse-engineer, copy, or replicate the tool's methodology or underlying prompts
  • Share your login credentials or allow others to access the tool under your account
  • Use the tool in a way that places unreasonable load on the platform or disrupts other users

We reserve the right to suspend or terminate accounts that breach these terms.

8. Intellectual property

Real Change Partner, its methodology, conversation flows, diagnostic logic, and written outputs are the intellectual property of Leading Real Change LLC. The tool is built on the original work of Dr. Jacqueline Kerr. Nothing in these terms transfers any ownership of this intellectual property to you.

The written output generated for you in a conversation is yours to use, share internally, and act on. It may not be redistributed commercially or published without permission.

9. Limitation of liability

To the fullest extent permitted by applicable law, neither Leading Real Change LLC nor Keystone AI LLC is liable for:

  • Decisions made or actions taken based on output generated by Real Change Partner
  • Outcomes of initiatives, conversations, or strategies informed by the tool
  • Loss of data, revenue, or opportunity arising from use of or inability to use the tool
  • Any indirect, consequential, or incidental damages arising from your use of the tool

Our total combined liability to you for any claim arising under these terms is limited to the amount you paid to us in the three months preceding the claim.

Nothing in these terms excludes liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

10. Changes to these terms

We may update these terms from time to time. Where a change is material, we will notify you by email at least 14 days before it takes effect. Your continued use of Real Change Partner after that date constitutes acceptance of the updated terms. If you do not agree, you may cancel your subscription before the changes take effect.

11. Governing law

These terms are governed by the laws of the State of California, United States. Any dispute arising under these terms will be subject to the exclusive jurisdiction of the courts of San Diego County, California.

Addendum A: EU and UK participants

If you are based in the European Union or the United Kingdom, the General Data Protection Regulation (GDPR) or UK GDPR applies to the processing of your personal data. The following additional terms apply alongside the main terms above.

Data controllers

Leading Real Change LLC and Keystone AI LLC are joint data controllers for your personal data. You may contact either party with data protection queries at the addresses in Section 12.

Lawful basis for processing

We process your personal data on the basis of your consent, given when you create an account and accept these terms. You may withdraw consent at any time by contacting jk@leading-real-change.com. Withdrawal does not affect the lawfulness of processing before that point.

International data transfer

Your personal data is processed and stored in the United States. The US does not currently hold an EU adequacy decision for general data transfers. By accepting these terms, you consent to the transfer of your personal data to the US for the purposes described in Section 6. Where available, we configure our service providers to use Standard Contractual Clauses as a transfer mechanism. We are committed to reviewing our transfer mechanisms as the regulatory landscape evolves.

Your additional rights under GDPR and UK GDPR

In addition to the rights in Section 6, EU and UK participants have:

  • The right to object to processing based on legitimate interests
  • The right to restrict processing while a concern is being resolved
  • The right to data portability in a structured, commonly used format
  • The right to lodge a complaint with a supervisory authority. EU participants may contact their national data protection authority. UK participants may contact the Information Commissioner's Office at ico.org.uk

Addendum B: Canadian participants

If you are based in Canada, the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy laws govern the collection, use, and disclosure of your personal data. The following additional terms apply alongside the main terms above.

Accountability

Leading Real Change LLC is accountable for personal information under its control. Dr. Jacqueline Kerr is the designated privacy officer. You may contact her at jk@leading-real-change.com with any privacy-related inquiry.

Consent and purpose

We collect, use, and disclose your personal information only with your knowledge and consent, and only for the purposes identified in Section 6 of these terms. By creating an account and using the tool, you consent to these purposes. Where we wish to use your information for a new purpose, we will seek your consent before doing so.

Cross-border transfer

Your personal information is transferred to and processed in the United States. US privacy laws differ from Canadian law and may not offer the same level of protection. By using the tool, you consent to this transfer. We take reasonable contractual steps to ensure your information receives comparable protection regardless of where it is processed.

Your rights under PIPEDA

  • Access the personal information we hold about you
  • Challenge the accuracy and completeness of your information and have it amended where appropriate
  • Withdraw consent at any time, subject to legal or contractual restrictions and reasonable notice, by contacting jk@leading-real-change.com
  • Lodge a complaint with the Office of the Privacy Commissioner of Canada at priv.gc.ca

We will respond to access requests and complaints within 30 days.

Addendum C: California residents

If you are a California resident, the California Consumer Privacy Act (CCPA) as amended by the California Privacy Rights Act (CPRA) gives you specific rights regarding your personal information. The following additional terms apply alongside the main terms above.

What we collect and why

Section 6 of these terms describes in full the categories of personal information we collect, the purposes for which we collect it, and the categories of third parties with whom we share it. We do not sell your personal information. We do not share your personal information with third parties for cross-context behavioral advertising.

Your rights under the CCPA/CPRA

  • Know what personal information we collect about you, how we use it, and with whom we share it
  • Access a copy of the personal information we hold about you
  • Request deletion of your personal information, subject to certain exceptions
  • Correct inaccurate personal information we hold about you
  • Opt out of the sale or sharing of your personal information. As noted above, we do not sell or share personal information for advertising purposes, so no opt-out mechanism is required
  • Limit the use of sensitive personal information to what is necessary to provide the service
  • Not be discriminated against for exercising any of these rights

How to exercise your rights

To exercise any of your rights under the CCPA/CPRA, contact us at jk@leading-real-change.com. We will verify your identity before processing your request and will respond within 45 days. We may extend this period by a further 45 days where necessary, with notice to you.

Authorized agents

You may designate an authorized agent to make a request on your behalf. We will require written proof of the agent's authorization and may verify your identity directly before processing the request.

Appendix A: Sub-processors

This appendix lists the third-party service providers that process user data on behalf of Leading Real Change LLC and Keystone AI LLC. Each may process your data only for the purpose listed. This list will be updated if a new sub-processor is added, and active subscribers will be notified by email.
